Terms of service

These Terms and Conditions, together with any applicable Service Agreement, constitute a legally binding agreement between the Client and Boyle Origin Technologies ("BOTline ai/Bot Ai"), governing Client’s access to and use of the website https://www.botlineai.com (the “Site”) and any services provided through the Site. By accessing or using the Site or Services, the Client agrees to be bound by these Terms and Conditions.

1. Client Access and Data Ownership

BOTline ai grants the Client a non-exclusive, non-transferable right to access and use the Site and Services during the term of the agreement, solely for the Client’s internal business use. BOTline ai may issue login credentials and access controls as required. The Client retains ownership of all data they provide but grants BOTline ai a limited license to use this data solely to deliver and improve the Services. BOTline ai retains ownership of any AI-generated insights, tools, or models developed while servicing the Client.

2. Intellectual Property

All content, code, software, and design elements provided through BOTline ai are owned by BOTline ai and protected by intellectual property laws. Client shall not reverse-engineer, replicate, or resell the Services or proprietary assets of BOTline ai.

3. Client Responsibilities

By using the Site or Services, the Client affirms that:

  • All registration details are accurate and up to date.

  • The Site will not be accessed through automated means.

  • BOTline ai Services will not be used for unlawful or unauthorized activities.

  • Consent from third parties, where legally required (e.g., for SMS outreach), has been properly obtained.

4. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of service delivery, except where disclosure is required by law. If a separate NDA exists, it will take precedence over this section.

5. Cancellation and Termination

Upon cancellation or termination, the Client remains liable for payments for Services rendered or appointments scheduled through the termination date.

6. Prohibited Use

Client shall not:

  • Harass or harm any individual via BOTline ai’s systems.

  • Use BOTline ai Services in breach of law.

  • Upload malicious code.

  • Attempt unauthorized access to the Site or Services.

  • Use the Services to build a competitive product.

7. Warranty Disclaimer

Except as explicitly stated, BOTline ai provides its Services “as is” without warranties of any kind. BOTline ai disclaims all implied warranties including merchantability and fitness for a particular purpose.

8. Submissions

Any feedback or ideas submitted by the Client become the property of BOTline ai. BOTline ai may use such submissions without obligation or compensation.

9. Privacy and Data Security

Please refer to BOTline ai’s Privacy Policy for details on how your data is handled. BOTline ai adheres to industry-standard security practices and complies with applicable data protection laws.

10. Service Availability and Modification

BOTline ai may update, modify, or suspend access to the Site or Services at any time without liability. While we aim for uptime and reliability, we do not guarantee uninterrupted access.

11. Dispute Resolution

All disputes shall first be subject to informal negotiation. If unresolved within 30 days, disputes shall be resolved via binding arbitration under the rules of the American Arbitration Association, with proceedings held in Eugene, Oregon unless otherwise agreed.

12. Limitation of Liability

In no event shall BOTline ai’s liability exceed the amount paid by Client to BOTline ai in the six (6) months preceding the event giving rise to the claim. BOTline ai is not liable for indirect or consequential damages.

13. Indemnification

Client agrees to indemnify BOTline ai for any claims arising from Client’s misuse of the Services or breach of these Terms. BOTline ai will similarly defend and indemnify the Client against third-party claims that BOTline ai’s technology unlawfully infringes upon intellectual property rights.

14. Backups and Data Loss

While BOTline ai performs regular backups, the Client is solely responsible for backing up their own data. BOTline ai shall not be held liable for any data loss.

15. Electronic Communications

By using the Site or Services, Client consents to receive electronic communications and agrees to electronic execution of contracts and other records.

16. Force Majeure

BOTline ai is not liable for delays or failures caused by circumstances beyond its control, such as natural disasters, cyberattacks, or disruptions in third-party services.

17. Miscellaneous

These Terms, along with any Service Agreement or posted policies, constitute the full agreement between the Client and BOTline ai. If any term is found unenforceable, the rest remain in effect. BOTline ai may assign its rights under these Terms without restriction.
